The failure of the critics of corporate governance to agree on what should be done to improve the governance process can, in most cases, be traced to a different understanding of the role of corporate directors in that process. This article analyzes and contrasts the obligations of directors under two legal theories, the fictional person theory and the organic theory, of the corporation. A comparison of the director's obligations under each theory indicates that the organic theory provides a better basis (...) for assessing the performance of directors and initiating reform.Among the boards of directors of Fortune 500 companies, I estimate that 95% are not fully doing what they are legally, morally, and ethically supposed to do. I provide a phenomenological response to Quentin Meillassoux’s “realist” criticism of phenomenology and I explore the resources and limits of phenomenology in its own attempt to grapple with the paradox Meillassoux believes sinks it: subjectivity has priority over the physical reality it constitutes despite the anteriority and posteriority of that physical reality to subjectivity. I first offer a corrective to Meillassoux’s interpretation of Husserl. Then, I turn to Merleau-Ponty’s lectures on the philosophy of nature, where he addresses the paradox by (...) interpreting Husserl in the light of Schelling. I argue throughout that the correct understanding of Husserl’s concept of constitution, and particularly, passive constitution, defangs this realist criticism of phenomenology and suggests phenomenology to be capable of a Naturphilosophie intimating pre-reflective being. In Reason and Rhetoric in the Philosophy of Hobbes, Quentin Skinner argued, first, that Thomas Hobbes’s philosophy is best understood when placed within the context of the study of rhetoric in Early Modern England and, second, that Hobbes’s attitude toward rhetoric changed in the course of his career: that he passed from a period in which he embraced civic humanism, with its emphasis on rhetoric to one of adamantly rejecting rhetoric in the late 1630s and 1640s, only to reembrace rhetoric (...) in his Leviathan. Plato's confrontation with Dionysius I, the so-called “tyrant of Sicily,” became famous as a cautionary tale of the perils of offering unwelcome advice to a powerful prince. Within early modern England, this tale took on added currency in the context of humanists' ambitions to serve as counselors in the court of Henry VIII. The humanist scholar Thomas Elyot (1490–1546), who briefly and unsuccessfully served at Henry's court, re-created Plato's exchange with Dionysius I in his dramatic dialogue The Knowledge Whiche Maketh (...) a Wise Man (1533). In his dialogue, Elyot imagines Plato returning to Athens after his brief period of enslavement, where he meets the philosopher/rhetorician Aristippus. Aristippus challenges Plato by positing that Plato's dangerous words to Dionysius violated rhetorical tenets of propriety and timing. In the course of their extended exchange, two different versions of the rhetoric of counsel surface—one based on principles of philosophy and one based on strategic rhetoric. (shrink)

In chapters on the Gorgias and the Meno in his 1997 From Plato to Postmodernism, James Kasterly argues that an important point made in the Gorgias is that Socrates fails to persuade Callicles. Its lesson is that philosophers will never succeed in persuading nonphilosophers if they rely on dialectic, with its premises grounded in epistemology, and in the Meno, he finds a type of dialectic that functions rhetorically. In this new book, The Rhetoric of Plato's "Republic": Democracy and the Philosophical (...) Problem of Persuasion, Kastely builds on his earlier work. In this two-part essay I develop a theory of natural signs. Since even primordial signs signify values, in the first part I develop the theory’s valuative aspect. Goods are as primary in nature as facts are, and together facts and values generate semeiosis in all life without excess extrapolation from human psychology. To ward off over-extrapolating on values, I defend a major discontinuity between man and nature on the goods of ethics. In the essay’s second part I develop the semeiotic (...) dimensions of the negative feedback model of purposive systems. I provide tests for the truth and falsity of the primitive representations in these systems. I account for the holism of representational systems and their non-extensionality, and I define functions. I solve this important definitional problem by inverting the usual mode of thinking: Functions do not explain signs; signs explain functions. Finally I defend this theory’s way of understanding the continuity between human beings and the rest of living nature against several criticisms. (shrink)

‘Ifs’ come washed or unwashed. The washed ifs are embedded in precise theories: the constantly strict implication of deductive inference, the variably strict implication of ‘nearness’ conditionals, and statements of conditional probability. By a nearness conditional I mean the common part of Stalnaker's and D. Lewis's theory of counterfactual conditionals, which depends on a notion that possible worlds are more or less near to each other, as a measure of their over-all similarity to each other.

According to philosophical naturalism, the main anti-naturalism in philosophy derives from Kant and depends on transcendental arguments, which are invalid or polemically toothless. Many of naturalism's characteristic features follow from this repudiation of Kantian method. Anti-naturalists should be aware that the rationale for naturalism depends on this attack on their own position. There remains for philosophy a distinctively philosophical role that depends on the indexical element in our thought, the role of elaborating a scientific worldview.

When reading, orthographic information is extracted not only from the word the reader is looking at, but also from adjacent words in the parafovea. Here we examined, using the recently introduced OB1‐reader computational model, how orthographic information can be processed in parallel across multiple words and how orthographic information can be integrated across time and space. Although OB1‐reader is a model of text reading, here we used it to simulate single‐word recognition experiments in which parallel processing has been shown to (...) play a role by manipulating the surrounding context in flanker and priming paradigms. In flanker paradigms, observers recognize a central word flanked by other letter strings located left and right of the target and separated from the target by a space. The model successfully accounts for the finding that such flankers can aid word recognition when they contain bigrams of the target word, independent of where those flankers are in the visual field. In priming experiments, in which the target word is preceded by a masked prime, the model accounts for the finding that priming occurs independent of whether the prime and target word are in the same location or not. Crucial to these successes is the key role that spatial attention plays within OB1‐reader, as it allows the model to receive visual input from multiple locations in parallel, while limiting the kinds of errors that can potentially occur under such spatial pooling of orthographic information.
